Welcome to UniSponsors. These Terms of Service ("Terms") govern your access to and use of the UniSponsors website and services, including any content, functionality, and services offered on or through unisponsors.com (the "Service").

Please read these Terms carefully before using our Service. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to all the terms and conditions of this agreement, you may not access the Service.

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes.

The Service is intended solely for:

• University societies and student organizations that are officially recognized by their respective educational institutions
• Businesses and organizations interested in sponsoring university societies
• Users who are 18 years of age or older

By using the Service, you represent and warrant that you meet all eligibility requirements. If you are using the Service on behalf of a society or business, you represent and warrant that you have the authority to bind that entity to these Terms.

Account Creation

To access certain features of the Service, you must register for an account. When you register, you agree to provide accurate, current, and complete information about yourself and/or your organization.

Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account or any other breach of security

We will not be liable for any loss or damage arising from your failure to comply with these obligations.

Account Types

We offer different account types for societies and businesses. Each account type has specific features and capabilities designed for its intended users. You agree to use the appropriate account type for your role and not to misrepresent your status.

Verification

We may, at our discretion, require verification of your identity or your affiliation with a university society or business. You agree to provide any requested documentation or information for this purpose.

Content Ownership

You retain all ownership rights to the content you submit to the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your User Content in connection with the Service.

Content Restrictions

You agree not to post or submit User Content that:

• Is false, misleading, or deceptive
• Infringes on any patent, trademark, trade secret, copyright, or other intellectual property rights
• Violates the legal rights of others, including privacy rights and rights of publicity
• Promotes illegal activities or contains illegal content
• Is defamatory, obscene, offensive, threatening, or harassing
• Contains viruses, malware, or other harmful code
• Advertises products or services not related to university sponsorships

Content Monitoring

We do not actively monitor User Content but reserve the right to review and remove any User Content that violates these Terms or that we find objectionable for any reason, without prior notice.

Platform Role

UniSponsors is a platform that facilitates connections between university societies and potential sponsors. We are not a party to any sponsorship agreements between users. We do not guarantee the quality, safety, or legality of any sponsorship arrangements.

User Responsibility

Users are solely responsible for:

• Negotiating and finalizing sponsorship terms
• Creating legally binding agreements
• Fulfilling obligations under those agreements
• Resolving any disputes that may arise

Financial Transactions

UniSponsors does not handle financial transactions between users. All payments and financial arrangements are to be handled directly between the parties involved in the sponsorship.

Dispute Resolution

In the event of a dispute between users regarding a sponsorship agreement, we encourage users to resolve the matter amicably. While we may offer general guidance, we are not responsible for mediating or resolving such disputes.

You agree not to use the Service for any purpose that is unlawful or prohibited by these Terms. Prohibited activities include, but are not limited to:

• Using the Service for any illegal purpose or in violation of any local, state, national, or international law
• Harassing, threatening, or intimidating other users
• Impersonating another person or entity
• Posting false or misleading information
• Attempting to gain unauthorized access to the Service or other users' accounts
• Interfering with or disrupting the Service or servers or networks connected to the Service
• Using the Service to send unsolicited communications or spam
• Collecting or harvesting user data without permission
• Using the Service for any commercial purpose not expressly approved by us
• Creating multiple accounts for deceptive or fraudulent purposes

Violation of these prohibitions may result in the termination of your access to the Service and potential legal action.

Service Content

The Service and its original content, features, and functionality are owned by UniSponsors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Limited License

We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Service for its intended purposes, subject to these Terms.

Restrictions

You may not:

• Copy, modify, or create derivative works based on the Service
• Reverse engineer, decompile, or disassemble any portion of the Service
• Remove any copyright, trademark, or other proprietary notices
• Transfer your rights to use the Service to another person or entity
• Use any automated system to access the Service

Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL UNISPONSORS, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.

Any legal action or proceeding arising out of or relating to these Terms or the Service shall be exclusively brought in the courts located in London, United Kingdom, and you consent to the personal jurisdiction of such courts.
